Senior Principal Legal Counsel - Global Commercial & Government Contracting

Responsibilities may include the following and other duties may be assigned.

US Government Contracting Support

  • Provide domain expertise and support to Medtronic businesses and regions on navigating the U.S. government procurement system, creating efficiencies, managing risk, and reducing liabilities.
  • In partnership with Medtronic's US Federal Government Enterprise team and other key stakeholders, implement systems and processes to support compliance, control, and consistency in all U.S. government sales activities.
  • Develop and deliver resources including playbooks, training modules, Frequently Asked Questions and other business-facing tools detailing contract administration and compliance requirements and implementation strategies.
  • Monitor and communicate pertinent changes in federal laws, regulations, and policies that impact Medtronic's status and ability to compliantly perform responsibilities as a government contractor and supplier.
  • Draft, review, and negotiate complex government solicitations, contracts, subcontracts, and teaming agreements, ensuring compliance with federal acquisition regulations.

ASC Support

  • Provide legal guidance on strategies involving ASC partnerships, commercial models, distribution programs, reimbursement trends, and engagement with ASC stakeholders, consistent with ASC market dynamics and business strategy.
  • Support contract development and review for ASC offerings, collaborations, facility-level programs, and commercial engagements.
  • Advise business teams on regulatory and compliance guardrails for ASC-based service models, digital engagement, and operational initiatives.

Enterprise Accounts Strategic Transactions Support

  • Support evaluation, structuring, drafting, and negotiation of strategic partnerships, commercial arrangements, and collaborative activities, including risk assessment and diligence on fraud and abuse and compliance implications.
  • Provide legal support for innovative commercial models, distribution structures, portfolio offerings, and cross-functional transactional execution.

Service & Repair Program Support

  • Draft, negotiate, and advise on service, warranty, maintenance, and repair agreements.
  • Assess compliance risks related to service offerings and partner with quality, operations, and service teams to align legal and regulatory requirements with field service processes.

Fraud & Abuse / Regulatory Counseling for GCO initiatives

  • Partner with other functional team members, including the Health Law Center of Expertise, to provide expert guidance on AKS, state fraud laws, False Claims Act, and related enforcement trends.
  • Review and advise on pricing, discounting, rebates, service arrangements, and financial interactions with healthcare providers, suppliers, and ASC partners to ensure compliance.
  • Support internal reviews, risk assessments, and compliance programs.

Cross-Functional Partnership & Governance

  • Collaborate closely with compliance, anti-trust, regulatory, quality, and health economics teams on risk mitigation and policy development.
  • Provide legal training and practical guidance to business teams, including communication risk management, documentation hygiene, and escalation protocols.

Additional Responsibilities

  • Serve as primary legal contact and business partner for the GCO.
  • Identify, assess, and communicate key contract risks, obligations, and practical mitigation strategies to internal stakeholders.
  • Provide legal review of proposed website content, internal and external communications pieces, executive business updates, and other materials.
  • In partnership with other subject matter experts, support discussions and negotiations regarding GCO implementation strategies.
  • Collaborate closely with Medtronic's various legal COEs and other legal and compliance professionals, as needed, to deliver the highest quality practical and strategic advice to commercial, finance, and other stakeholders to close deals effectively and compliantly.
  • Partner with other stakeholders to build efficient processes, creation and maintenance of playbooks, templates, self-help workflows, and document management systems.

MUST HAVE: MINIMUM REQUIREMENTS

  • Juris Doctor from a nationally recognized US law school.
  • Licensed to practice law and in good standing under the Bar of at least one state in the United States or in Washington D.C.
  • 8+ years of legal experience negotiating and drafting agreements governing the sale of healthcare products and services to large hospital systems as well as ASCs, and to include 5+ years of legal experience specifically focused on federal government contracting law, either in-house or with a reputable law firm.

NICE TO HAVE

  • Experience supporting Sales and Marketing, with a focus on strategic partnerships related to medical devices and services.
  • Extensive experience negotiating and drafting collaborative partnerships, consulting services, data use agreements, capital acquisition programs (sales, leasing, and financing), discount arrangements, partnership agreements, distribution agreements, group purchasing organization agreements, service and repair agreements, other.
  • An adept ability to issue spot and effectively communicate complex legal risks, including antitrust and antikickback, simply and clearly to relevant stakeholders.
  • Ability to identify high risk situations and provide appropriate guidance, including the ability to make courageous and unpopular decisions in a diplomatic manner.
  • Proven ability to manage and execute multiple complex assignments across multiple stakeholder groups within required timelines and expectations.
  • Possesses a proactive, customer‑centric, solutions‑oriented and continuous improvement mindset.
  • Confident and humble leadership presence, with a proven ability to influence leadership at all levels of an organization.
  • Superior active listening skills and a keen ability to understand the big picture.

Salary ranges for U.S (excl. PR) locations (USD):$191,200.00 - $286,800.00

This position is eligible for a short‑term incentive called the Medtronic Incentive Plan (MIP).

This position is eligible for an annual long‑term incentive plan.

The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).

The following benefits and additional compensation are available to those regular employees who work 20+ hours per week: Health, Dental and vision insurance, Health Savings Account, Healthcare Flexible Spending Account, Life insurance, Long‑term disability leave, Dependent daycare spending account, Tuition assistance/reimbursement, and Simple Steps (global well‑being program).
